SpaceX Pre-IPO ISO Planning:
Exercise Smart. Before the IPO Changes the Math.

Every 409A update makes your ISOs more expensive to exercise. The SpaceX employees who build real wealth from stock options aren’t the ones who wait. They’re the ones who modeled their AMT crossover point years before a liquidity event and executed a plan. Our system turns every exercise decision into a pre-IPO advantage.

Your ISOs Are Appreciating. But Are They Being Exercised?

Most SpaceX employees aren’t careless with their stock options, they’re just waiting for more clarity. Shares vest, the 409A climbs, and the options sit untouched. But without a deliberate exercise plan, the same growth that made your ISOs valuable is quietly pricing you out of them, and building an AMT time bomb that detonates the moment you try to act.

Incentive Stock Options give you the right to buy SpaceX shares at a fixed strike price. When that strike was set at $20, $50, or $80, and today’s 409A valuation is north of $500, the “bargain element” (the spread between your strike price and the current fair market value) has ballooned. That spread isn’t taxed as ordinary income at exercise. But it is added to your income for Alternative Minimum Tax purposes, creating a phantom tax bill on shares you can’t even sell yet.

Here’s the trap: the exercise cost stays flat. The tax bill explodes. At a $50 strike with a $200 FMV, the all-in cost to exercise might be $85/share. At a $526 FMV, it’s $217/share. At a projected $1,100 FMV, it’s $418/share. Same option, same strike, but 5× more expensive because you waited. And at SpaceX, there’s no cashless exercise. You need cash on hand for the strike price and the AMT bill, with no guarantee of when you’ll be able to sell.

The thing that kills you is the taxes. The larger the spread, the more you are going to get hit and it can quickly price you out of a huge portion of your shares if your company is experiencing tremendous growth.

What to Do Next Exercise up to your AMT-free limit this year, then repeat next year. Over 2–4 years you can work through a significant portion of your grants while paying zero federal AMT. Every share exercised in the free zone also starts your 12-month LTCG holding clock at zero additional tax cost. Talk to Derek →

From Options to Ownership: The ISO Exercise Framework

ISO planning isn’t a one-time exercise, it’s a multi-year system. Each phase builds on the last, converting paper options into real, tax-efficient wealth before a liquidity event forces your hand.

1

Map: Know Your Full Grant Landscape

Catalog every ISO grant, strike prices, vesting schedules, grant dates, and expiration dates. Calculate your “exit readiness number”: the total all-in cost (strike + AMT) to exercise every vested option if you left SpaceX tomorrow. If that number is growing faster than your ability to fund it, you’re falling behind. Update this after every 409A valuation change.

2

Model: Find Your AMT Crossover Point Each Year

The AMT crossover point is the maximum ISO bargain element you can realize before your tentative minimum tax exceeds your regular tax. Exercise up to this line and you pay zero additional federal tax. Go above it and every additional dollar of spread is taxed at 26–28% federal AMT plus state AMT. This number changes every year with your income, deductions, and filing status. Modeling it annually is the foundation of a multi-year exercise strategy.

3

Execute: Stagger Exercises Across Tax Years

Rather than exercising a massive block and triggering a six-figure AMT bill, spread exercises across 2–4 tax years. Exercise to the AMT crossover line each January. Prioritize the oldest grants first (closest to expiration) and the lowest strike prices (widest spread, most urgency). Each exercise starts the 12-month LTCG clock, so shares exercised this year qualify for long-term capital gains rates before a future liquidity event.

4

Deploy: Build the Non-Qualified Asset Base That Unlocks Level 3

Once exercised shares are liquid, through a purchase offer, tender, or IPO, deploy proceeds into a non-qualified, non-retirement investment portfolio. Level 1 is earning equity. Level 2 is eliminating the cash drag. Level 3 is building the liquid, diversified asset base that funds financial independence before age 59½, bridges early retirement gaps, and makes your career optional, and that starts with the first share you exercise.

I would have built a plan around exercising immediately after making the decision to choose options. You need to start planning 1–2 years in advance of vesting to build up the bankroll. Hindsight being 20/20, I would have consulted a financial advisor BEFORE I made the decision of ISOs vs RSUs. Those are HUGE decisions.

What Most SpaceX Employees Get Wrong About ISOs

💣

The AMT Time Bomb

Exercising ISOs and holding creates a tax bill on unrealized gains. At SpaceX, where you can’t sell to cover, this means writing a check to the IRS for shares you can’t liquidate. The bigger the spread, the bigger the bomb.

⏰

The 90-Day Trap

Leave SpaceX and you have 90 days to exercise vested ISOs, or they expire worthless. Employees who never built an exercise plan discover a six- or seven-figure bill with a hard deadline. Options you can’t afford to use are options you lose.

📈

The Cost of Waiting

Every 409A increase widens the spread and raises your all-in exercise cost. At a $50 strike, the jump from $526 to $1,100 FMV nearly doubles your per-share cost. The exercise price is fixed; the tax bill is not.

🔄

AMT Credits Are Real Money

AMT paid on ISO exercises generates a Minimum Tax Credit you can recover in future years when your regular tax exceeds your AMT. Most employees don’t track this, leaving thousands in recoverable dollars on the table.

🎯

The Crossover Point Is Your Edge

There’s a dollar amount of ISO spread you can realize each year at $0 additional AMT. Exercising to this line, and stopping, is the foundation of every smart ISO strategy. It changes annually. Model it every January.

⚡

The SpaceX “Tainting” Rule

At most companies, disqualifying one portion of an ISO grant doesn’t affect the rest. At SpaceX, a disqualifying disposition on any part of a grant can taint the entire grant, wiping out favorable ISO treatment on all shares in that lot.

5 ISO Exercise Strategies That Move the Needle

1. Exercise to the AMT Crossover Line Each Year. Calculate the maximum bargain element you can realize before your tentative minimum tax exceeds your regular tax. Exercise to that line, not above it, every January. Over 2–4 years, you can work through a significant block of grants at zero additional federal tax cost. This is the single highest-leverage move in ISO planning.

2. Prioritize Oldest Grants and Widest Spreads First. Older grants with low strike prices have the widest spreads, the most urgency, and the nearest expiration dates. Exercise these first to lock in value before the window closes. Newer grants with smaller spreads can wait, their AMT impact per share is lower and you have more runway.

3. Start the LTCG Clock as Early as Possible. Once you exercise and hold ISOs for at least 12 months from exercise and 2 years from grant, any gain at sale qualifies for long-term capital gains rates, potentially saving 15–20% versus ordinary income tax. Every year you delay exercising is a year you can’t start this clock. Exercise in the AMT-free zone now so shares are LTCG-eligible well before a future liquidity event.

4. Build the Exercise Bankroll 12–24 Months in Advance. ISOs at a private company require cash to exercise (strike price) plus cash to cover AMT, with no ability to do a same-day sale. Start building this reserve using RSU sale proceeds, ESPP gains, tender offer participation, or dedicated savings. The worst outcome is having valuable vested options you simply can’t afford to use.

5. Coordinate ISO Exercises With Your Full Equity Calendar. In years where large RSU vests push you into higher brackets, your AMT crossover point may shrink, meaning fewer ISOs can be exercised tax-free. In lower-income years (job transition, sabbatical, gap between grant cliffs), your crossover point expands. Timing ISO exercises around RSU vesting, ESPP purchases, bonus payouts, and purchase offer participation maximizes your after-tax outcome across all grant types.

The first time I decided to consult a tax professional was the first time I was ready to participate in a purchase offer. I wish he had actually looked at my situation, and told me that was the wrong thing to work on, and that in my situation, the right thing to work on was exercising my ISOs. He could likely see more clearly that the cost of my ISOs was rapidly increasing.

ISO Planning: The Questions That Matter

When you exercise ISOs and hold the shares past December 31, the “bargain element”, the difference between your strike price and the 409A FMV at exercise, is added to your income under the Alternative Minimum Tax system. The IRS then calculates your tax two ways: regular and AMT. You pay whichever is higher. For 2025, the AMT rates are 26% on the first $239,100 of AMT income above your exemption, and 28% above that. California adds its own 7% state AMT. The result is a tax bill on paper gains from shares you can’t sell yet, the definition of a phantom income problem.

You typically have 90 days after your last day to exercise vested ISOs. After that, unexercised options expire worthless, regardless of how much they were worth on paper. This is federally mandated for ISOs. If you can’t fund the exercise cost plus the AMT within 90 days, those options are gone. This is why the “exercise bankroll” strategy exists: building cash reserves in advance so you’re never forced into a fire sale or forced to walk away from vested value. If your company extends the exercise window beyond 90 days, those ISOs convert to NSOs and lose their favorable tax treatment.

Yes. AMT paid on ISO exercises generates a Minimum Tax Credit (MTC) that carries forward indefinitely. In future years where your regular tax exceeds your tentative minimum tax, typically when you sell the exercised shares, you apply the credit to reduce your tax bill. Because the AMT cost basis is higher than the regular tax cost basis, selling shares produces a smaller AMT gain than regular gain, which is the mechanism that allows the credit to flow back. Tracking and claiming these credits is one of the most overlooked opportunities in ISO planning.

A disqualifying disposition occurs when you sell ISO shares before meeting the holding requirements, either within 12 months of exercise or 2 years of grant. The gain is taxed as ordinary income instead of long-term capital gains. While this sounds bad, it can be strategic: selling before December 31 eliminates the AMT hit on those shares, creates immediate liquidity to fund further exercises, and avoids holding concentrated shares through volatile periods. But at SpaceX, be extremely careful, a disqualifying disposition on any part of a grant can “taint” the entire grant, wiping out ISO treatment on all shares in that lot.

ISOs should be planned alongside RSUs, NSOs, ESPP, and 401(k) as part of a coordinated equity strategy. In years with large RSU vests, your regular tax is higher, which can either expand or shrink your AMT-free zone depending on the interaction between regular tax and AMT. ESPP and ISO exercise timing should be coordinated so you’re not stacking multiple taxable events in the same year. Tender offer participation can generate liquidity to fund ISO exercises. And sale proceeds from any equity type should fund tax-advantaged accounts first, then build the non-qualified asset base that creates financial independence.

How Much Are Your ISOs Really Costing You to Wait?

Every 409A update changes the math. A 30-minute conversation can show you exactly what’s at stake, and build the exercise plan that protects the wealth you’ve already earned.
