Your Anduril Equity. Your Roadmap.

A pre-IPO framework for RSUs, taxes, and liquidity, built for Anduril shareholders. Whether you hold early ISOs that doubled in value, RSUs that now vest and settle every year, or a concentrated position with no plan around it, every decision on this page maps to the Worker to Investor framework.

Sec. 00Risk Profile

The three risks most Anduril shareholders underestimate.

Anduril equity looks simple on the surface. It is not. The structure creates a unique risk profile that requires specialized planning before liquidity arrives.

01 / Annual Vest Income

Every vest is a tax event now.

RSUs settle on their vest date and land on your W-2 at the current valuation. The income is real either way, and the tax bill does not wait.

Sell all the shares, keep some, or pay in cash. Liquidity can be scarce: a tender offer may give you a way to sell, but the timing and size are Anduril's call.

The most common wealth planning challenge for Anduril employees after the change.

02 / Under-Withholding

The 22% trap in high-income years.

Statutory withholding, typically 22% federal, is meant for average earners, not high-salary professionals.

When RSUs vest on top of your W-2 income, you can easily hit the 35 to 37% federal bracket plus up to 13.3% California tax.

Payroll covers only part, leaving a bill that may force rushed sales.

03 / The Illusion of Liquidity

A tender is not a guarantee.

Anduril has offered tender opportunities before, but they are unpredictable and not guaranteed.

Treating them as reliable liquidity creates planning gaps: overextending on a home, delaying tax planning, lacking reserves.

Partial liquidity is not a strategy you can rely on. Preparation is.

Break free of the worker mindset.

Understand your Anduril equity, model the costs, and identify the time-sensitive decisions. Most shareholders stay here for years without realizing the cost of waiting is compounding against them.

01.01High Urgency · Window Narrowing
"I have ISOs from 2021 or 2022 and the valuation just doubled."
What the framework saysThe Series H closed in May at $61 billion, double the $30.5 billion mark from eleven months earlier, and a new round has been reported in talks at roughly $100 billion. The bargain element on your early-strike ISOs has moved with every mark. Re-model your AMT against the current implied per share price, not last year's, and exercise inside your AMT crossover before the next round closes to start the long-term capital gains clock on a lower basis.
01.02Common Starting Point
"My RSUs vest every year now and I don't know what that does to my taxes."
What the framework saysEach vest is ordinary income in the year it settles, valued at the current mark. A tender offer may let you sell shares to cover it, but tenders are not guaranteed to line up with your vest dates or your tax deadlines. Payroll withholds at the statutory rate by default, which is rarely enough at your income. Project the gap for every vest date this year, review your withholding election, and reserve cash quarterly so the April bill does not depend on a tender arriving in time.
01.03Recurring Question
"The tender talk keeps coming up. Should I count on it?"
What the framework saysPast tenders are not a guarantee of future ones. Treating unpredictable liquidity as reliable is how planning gaps open. Build your plan around the liquidity you control first. Treat a tender as upside, not as the foundation.
01.04Foundational
"I can't produce my full equity picture on one page."
What the framework saysYou cannot model what you cannot see. The first move is always the equity map. Every grant, every lot, every strike, every vest date on one page. At a $61 billion valuation, with a higher mark possibly on the way, this is the wrong moment to be guessing.
“The thing that kills you is not the exercise price. It’s the taxes.”

Level 2
Builder

Design systems and deploy capital.

Eliminate cash drag, reduce concentration, and build the asset base that will eventually produce income on its own. This is where the transition is engineered, not improvised.

02.01Concentration
"Most of my net worth is Anduril and very little is anything else."
What the framework saysConcentration is not solved overnight. Level 2 reduces it systematically through tenders, post-liquidity phased selling, and redirecting new cash flow into diversified accounts. Ask the real question: if Anduril dropped 40% before you could sell, what does that do to your net worth?
02.02Cash Drag
"I make $300K+ and I'm only using my 401(k)."
What the framework saysEvery dollar sitting uninvested is costing you. Level 2 maxes every vehicle: 401(k) to the limit, backdoor Roth, HSA as a stealth retirement account, mega backdoor Roth if your plan allows it. Then everything above your Cash Account line gets deployed deliberately.
02.03Liquidity Decision
"If a tender opens, how much should I actually sell?"
What the framework saysA tender is a Level 2 tool for creating liquidity before the IPO. The decision is how much concentration reduction you need and what your tax war chest target is. Selling a portion is not giving up. It is funding the foundation that makes Level 3 possible.
02.04Sequencing
"Should I exercise everything now, or stage it across years?"
What the framework saysExercising everything in one year rarely wins. Neither does waiting for the IPO. The Level 2 move is a sequence sized to your AMT-free zone each year, paired with a cash plan and a concentration target, so the tax bill in any single year stays inside what you can pay without selling other assets.
You don’t have to sell the dream. You just have to buy insurance against the scenarios that derail it.
03
Level 3
Investor

Scale for sustainable growth.

Your equity built the foundation. Now scale it. Level 3 is where your wealth works without you. The selling plan converted concentration into capital. Now you have a portfolio to manage, a tax picture to optimize, and a critical mass number to protect.

03.01Deployment
"Liquidity arrived. Now I have a large cash position sitting idle."
What the framework saysThe hardest transition. You went from illiquid equity to a large liquid balance overnight, and the concentration risk just shifted from Anduril stock to uninvested cash. This is the Wealth Account: asset allocation designed around your goals, tax-efficient placement, rebalancing discipline, and income when you need it.
03.02Critical Mass
"I crossed critical mass. Do I keep working?"
What the framework saysOnce your diversified portfolio covers your annual expenses, work is optional and the priority shifts to preservation. Tax-loss harvesting, Roth conversion laddering, estate planning, and lending against assets instead of selling and triggering gains. Sustainable wealth is the goal, not maximum wealth.
03.03Tax Strategy
"I want liquidity without selling and triggering capital gains."
What the framework saysSecurities-backed lending lets you access liquidity without selling. Borrow against the portfolio at institutional rates, deploy the cash, and the portfolio keeps compounding. An Investor-level tool most workers never learn exists.
03.04Legacy
"I need to start thinking about estate planning and trusts."
What the framework saysEstate planning is a Level 3 activity. Trusts, beneficiary optimization, gifting strategies with appreciated stock, charitable giving. It preserves the wealth you built through Levels 1 and 2 for the people and causes you care about.
